These terms are an agreement between Green State Restoration, Inc. ("GSR," "we," "us") and the home service company that signs up for Weave (the "Company," "you"). They also bind everyone who signs in ("Users"), including the Company's team, its referral partners ("Partners") and their people. By using Weave, you agree to them. If you sign up for a company, you confirm you can bind it.

Features shown on the public website may be previews. A description of a planned feature does not mean it is available in your account. Payment, mobile and program features below apply when made available to you under an approved program.

1. Who we are

Weave (weave.cash, its web portal and mobile apps) is a product of Green State Restoration, Inc., a Washington corporation in Monroe, Washington. It is software for running referral programs: inviting Partners, tracking referrals to paid jobs, and paying rewards through payout providers. GSR also runs a restoration business. In its own referral program, GSR is a Company like any other.

2. Accounts and eligibility

  • Weave is for business use by people 18 or older who can make a binding agreement.
  • One person per login. Never share a login, password or sign-in code.
  • A new sign-in ends the account's previous session. One person may not share a login with another.
  • Users sign in with a password or an emailed code. Owners and admins must complete both a password and an emailed-code check. Keep both private, and tell us at once if someone else may have used your account.
  • Owners and admins decide who joins the Company's account and what each User can do. The Company is responsible for everything its Users do in Weave, including payments they approve.

3. The Company's program and its Partners

  • The Company runs its own referral program. It sets rewards, splits and reserves and agrees them with its Partners ("Program Terms"). Only the Company owes the rewards it promises.
  • GSR provides software. It is not a party to any Program Terms and owes no rewards, except in its own program.
  • The Company must make sure its program is lawful wherever it runs, including laws on commercial bribery, kickbacks and referral fees; insurance rules, especially for insurance-paid work; trade licensing; a Partner company's consent before paying its employees; tax reporting, such as Forms 1099; and unclaimed property.
  • A Partner's owner or admin can accept the Program Terms in Weave and set how rewards are split among their people. That record helps; it does not make a program lawful.

Partners and their people take part under the Program Terms. Take part only if your employer allows it, refer only people who agreed to be contacted by the Company, and pay any taxes on your rewards.

4. Payments and payouts

  • When payouts are available, supported methods and the third-party provider will be shown before enrollment. The provider's terms apply, and the Company and anyone paid may have to accept them and verify their identity.
  • Weave provides software, not a bank account.
  • The provider keeps bank account, card and tax ID numbers. Weave keeps only the provider's reference and the last four digits.
  • A person may need to give a Form W-9 before a cash payout; until then, their rewards wait as owed. Weave keeps year-end totals to help with Form 1099 reporting, but the Company remains responsible for its tax filings.
  • Weave may require a second person to approve some payments and reserve draws.
  • The Warranty Bank records program credits and amounts allocated toward damage a Partner causes. The Program Terms must distinguish promotional credits from earned rewards and explain eligibility, approvals, use, returns and forfeiture. The name does not mean a bank account, deposit insurance, insurance policy, bond or warranty from Weave.
  • Payment records are never edited; mistakes are fixed with a correcting entry. We will help trace a failed or misdirected payment, but cannot promise to recover money sent on details a User entered.

5. Pricing

  • Weave is free for as many Users as the Company wants.
  • GSR charges 3.5% on each top-up of the Company's Weave balance, added on top of the amount and paid with the top-up: topping up $1,000.00 costs $1,035.00, and the whole $1,000.00 is added to the balance for paying Partners. [TO CONFIRM: whether provider fees and taxes are extra.]
  • Fees already charged are not refundable unless the law requires it or we agree in writing. [TO CONFIRM]
  • We may change our prices with at least [TO CONFIRM: 30] days' notice by email or in Weave. Changes do not affect transactions already made.

6. Acceptable use

Do not:

  • send fake, duplicate or self-dealing referrals, or inflate a job to raise a reward;
  • pay or accept a reward where the law, an employer or an insurance rule forbids it;
  • submit someone's details without their agreement to be contacted, or send messages people did not agree to receive;
  • upload anything unlawful, harmful or misleading, or anything you have no right to share;
  • put full bank account, card or Social Security numbers, or health information, in notes, messages or photos;
  • get around the one-login rule, security controls or limits;
  • access data you are not allowed to see, probe, scrape, reverse engineer or disrupt Weave, or use it to build a competing product.

7. Data and privacy

Our Privacy Policy explains how we handle personal information. The Cookie Policy explains browser storage, and Privacy choices explains how to make a request. The Company must give its Partners and their people any notices the law requires, and have the right to share their information through Weave.

8. Customer Data and our property

  • "Customer Data" is what the Company and its Users put into Weave, such as partner lists, referrals, photos, building plans and payout records. The Company owns it. Partners and their people keep any rights they have in what they submit.
  • The Company lets GSR host, copy, process and show Customer Data only to run, secure, support and improve Weave, to follow the law, and as the Privacy Policy describes.
  • Weave's software, design and brand belong to GSR. You may use Weave under these terms while your account is active. We may use ideas you send us without owing you anything.

9. Confidentiality

  • We keep Customer Data confidential. Our staff and service providers see it only when needed to run or support Weave.
  • [TO CONFIRM: GSR's restoration business may compete with the Company. GSR will not use Customer Data to market to the Company's Partners or customers, recruit its Partners or win its jobs, and GSR's restoration staff will not see it.]
  • The Company keeps confidential any non-public information we share about Weave, such as security details or special pricing.
  • Either side may disclose confidential information when the law requires, with notice where allowed.

10. Availability and changes to Weave

We work to keep Weave running but do not promise it will always be available or error-free. We may pause it for maintenance or urgent fixes, and we may change, add or remove features. Before removing a feature the Company relies on, we will try to tell you.

11. Suspension and termination

  • The Company may stop using Weave at any time. To request account closure or deletion, use Privacy choices. There is no self-service account deletion tool in the current website. Closing an account does not cancel obligations already incurred.
  • We may suspend or end access for a User or the Company if these terms are broken, fees go unpaid, we see fraud or a security risk, or the law requires it. We will give notice when we reasonably can.
  • When an account ends, payouts already sent may still complete, and the Company still owes its Partners what its Program Terms say. [TO CONFIRM: the Company may request a copy of its Customer Data within 30 days; then we delete it, except records the law requires us to keep.]
  • Terms that by their nature should last, such as fees owed, disclaimers, liability limits, indemnity and disputes, survive.

12. Disclaimers

  • To the extent the law allows, Weave is provided "as is" and "as available," without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement.
  • We do not promise any number of referrals, jobs or savings. We do not check referrals, job values, damage reports or Emergency Response Plans for accuracy; the Users who enter them are responsible.
  • Weave is not an emergency service. In an emergency, call 911 first.
  • Nothing in Weave, including its default reward plans and splits, is legal, tax or financial advice.

13. Limitation of liability

To the extent the law allows, GSR and its officers, directors, employees and agents are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. GSR's total liability for all claims about Weave is limited to [TO CONFIRM: the greater of $100 or the fees the Company paid GSR in the 12 months before the claim]. These limits do not apply where the law forbids them.

14. Indemnity

The Company will defend GSR and its officers, directors, employees and agents against claims arising from the Company's program (including rewards, reserves and Program Terms), its Customer Data, its or its Users' breach of these terms, or its violation of any law or anyone's rights, and will pay the resulting losses and costs.

15. Governing law and disputes

  • Washington State law governs these terms, without regard to its conflict-of-law rules.
  • We will first try to settle any dispute through good-faith talks. If it is not settled within 30 days, it goes to binding arbitration administered in Snohomish County, Washington, under the rules of the American Arbitration Association. [TO CONFIRM: its Commercial Arbitration Rules.]
  • You and GSR each give up any right to a jury trial and to bring or join a class action.

16. Changes to these terms

We may update these terms and will post each new version with a new effective date. For a material change, we will tell account owners by email or in Weave at least [TO CONFIRM: 30] days before it takes effect, and may ask Users to accept the new version. Using Weave after a change takes effect means accepting it.

17. General

These terms, plus any written agreement we sign with the Company, are the whole agreement about Weave. If part cannot be enforced, the rest still applies. Not enforcing a term is not a waiver. The Company may not transfer these terms without our written consent. We may transfer them in a merger, sale or reorganization, including to a company formed to run Weave. Neither side is liable for delays beyond its reasonable control.
